These Terms of Use ("Terms") govern access to and use of the website, products, and services of The Indus Craft Co. By accessing the TICC website or placing any order, you agree to be bound by these Terms. These Terms are structured in three parts: Part A (all website users), Part B (Sample Buyers), and Part C (Bulk Buyers). Please read the section that applies to you.

General Terms — All Website Users
The Indus Craft Co. ("TICC", "we", "our", "us") is an Indian export business specialising in handcrafted, eco-friendly, and natural-material products for international B2B buyers. TICC operates as a B2B wholesale platform — not a consumer retail store.

By accessing or using the TICC website (www.theinduscraftco.com), by creating an account, by placing a sample order, by submitting a bulk inquiry, or by making any purchase, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, Cookie Policy, Returns, Damage & Claims Policy, Wholesale Terms of Sale, and Shipping, Duties & Delivery Policy.
If you do not agree to these Terms, you must not use this Website or place any order with TICC.
TICC is a B2B Platform Only
The TICC website is not a consumer retail store. It is operated exclusively for business buyers — including retailers, importers, wholesalers, distributors, ecommerce brands, hospitality operators, sourcing teams, and institutional buyers. TICC does not sell to individual consumers for personal use.
By using this Website or placing any order, you represent and warrant that:
▸ You are a legally registered business entity (sole trader, partnership, LLP, limited company, or equivalent) in your country of operation;
▸ You are purchasing goods for commercial purposes — resale, retail, hospitality, gifting, private label, or other business use — and not for personal consumer use;
▸ You are 18 years of age or older and have full legal capacity to enter into binding contracts;
▸ The individual using the Website is authorised to act on behalf of the business entity;
▸ All registration and account information you provide is accurate, current, and complete.
TICC reserves the right to refuse, suspend, or terminate access for any user who cannot demonstrate B2B eligibility or who uses the Website in violation of these Terms.
4.1 Account required for purchasing
To place a sample order, you must create an account. Account creation requires a valid business email address, company name, contact name, and delivery country.
4.2 Accuracy of information
You are responsible for ensuring all account information is accurate and kept up to date. TICC may verify your business credentials and reserve the right to decline registration if eligibility cannot be confirmed.
4.3 Account security
You are responsible for maintaining the confidentiality of your login credentials. Notify TICC immediately at hello@theinduscraftco.com if you suspect any unauthorised access to your account.
4.4 Account closure
You may close your account at any time by contacting hello@theinduscraftco.com. TICC may suspend or close accounts that violate these Terms, are used fraudulently, or are inactive for extended periods.
All content on the TICC website — including text, product descriptions, product photographs, category structures, branding, logos, layouts, design elements, graphics, compiled data, Help Center guides, policy documents, and all original creative material — is owned by or licensed to TICC and is protected by applicable intellectual property laws including the Indian Copyright Act 1957, the Trade Marks Act 1999, and equivalent laws in other jurisdictions.
5.1 No unauthorised use
You may not copy, reproduce, distribute, modify, scrape, frame, mirror, republish, commercially exploit, or create derivative works from any content on the TICC website without TICC's prior written consent.
5.2 Limited licence for buyers
You are granted a limited, non-exclusive, non-transferable licence to access and use the Website and its content solely for the purpose of evaluating products and placing orders with TICC.
5.3 Product designs
Product designs, craftsmanship techniques, and artisan know-how represented on the Website are the intellectual property of TICC and/or its artisan Partners. No right or licence in product designs is granted by virtue of these Terms.
5.4 Feedback
If you provide suggestions, feedback, or ideas to TICC, you grant TICC a perpetual, royalty-free licence to use them without restriction.
You agree not to use the TICC website in any way that:
▸ Violates applicable laws or regulations in any jurisdiction;
▸ Infringes the intellectual property rights of TICC or any third party;
▸ Misrepresents your identity, business affiliation, purchasing intent, or destination market;
▸ Involves scraping, crawling, data mining, or systematic extraction of product data, pricing, or catalogue content without written authorisation;
▸ Interferes with the security, integrity, or performance of the Website or its underlying systems;
▸ Uploads or transmits harmful code, malware, spam, or disruptive content;
▸ Involves fraudulent orders, chargebacks, or abuse of TICC's policies;
▸ Damages the reputation, commercial interests, or operations of TICC or its Partners.
TICC takes care to present accurate product information on the Website. However, given the handcrafted, artisan nature of our products and the international scope of our operations:
7.1 Handcrafted variation
Product photographs, dimensions, colours, textures, and finishes are representative. Natural variation between units is inherent and expected. This is addressed fully in TICC's Quality & Handcrafted Variation Policy.
7.2 Content accuracy
Product information including HS Codes, MSRP guidance, and production timelines is provided in good faith and for commercial guidance only. TICC does not guarantee absolute accuracy and reserves the right to update content at any time.
7.3 Regulatory compliance
Import duties, customs requirements, certifications, and product compliance vary by destination country and product category. It is the Buyer's responsibility to verify that products are legally importable and compliant in their destination market. TICC's certification support is described separately.
7.4 Third-party links
The Website may link to third-party websites (e.g., DHL, PayPal). TICC is not responsible for the content or privacy practices of those websites.
To the fullest extent permitted by applicable law:
8.1 Exclusion of indirect loss
TICC shall not be liable for any indirect, consequential, incidental, special, or punitive loss, including loss of profits, loss of revenue, loss of data, or reputational loss, arising from use of the Website or any order placed with TICC.
8.2 Cap on liability
TICC's total aggregate liability to any Buyer in connection with the Website and any order shall not exceed the invoice value of the specific order giving rise to the claim.
8.3 As-is basis
The Website is provided on an 'as is' basis. TICC makes no warranty that the Website will be uninterrupted, error-free, or free of viruses.
8.4 Force Majeure
TICC shall not be liable for delays or failures in performance arising from events beyond its reasonable control — including natural disasters, pandemics, port closures, government restrictions, artisan cluster disruptions, or carrier failures.
Governing Law — India (Kolkata, West Bengal)
These Terms of Use are governed by and construed exclusively in accordance with the laws of India, without regard to conflict of law principles. The courts of Kolkata, West Bengal, India shall have exclusive jurisdiction over any dispute arising under these Terms, subject to the arbitration clause below.
9.1 Amicable resolution
Both parties shall first attempt to resolve any dispute amicably through direct negotiation within 30 days of written notice of the dispute.
9.2 Binding arbitration
If amicable resolution fails, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act 1996 (India) as amended. The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language of arbitration shall be English. The award shall be final and binding on both parties.
9.3 Mandatory consumer law rights
Nothing in these Terms limits any rights a buyer may have under mandatory consumer protection laws in their country of residence that cannot be excluded by contract. However, given that TICC operates exclusively as a B2B platform, consumer protection laws applicable to individual consumers will generally not apply to TICC's B2B buyers.
Part B
Sample Buyers — Website Purchases
Applies to buyers placing sample orders on www.theinduscraftco.com
Sample orders allow buyers to evaluate TICC products — quality, craftsmanship, design, and specifications — before committing to a bulk wholesale order. The sample process is structured as follows:

11.1 Prepaid — no exceptions
All sample orders are 100% prepaid. No credit terms are offered by TICC for sample orders.
11.2 Accepted payment methods
PayPal (including PayPal Pay Later / instalment options where offered by PayPal subject to PayPal's own eligibility assessment) and major credit/debit cards via secure gateway.
11.3 PayPal instalment plans
If you use PayPal and PayPal presents an instalment or 'Pay Later' option, that arrangement is between you and PayPal exclusively. TICC is not a party to your credit arrangement with PayPal, does not approve or deny credit, and has no responsibility for PayPal's terms.
11.4 Currency
Sample orders are priced in USD. Currency conversion (if displayed) is for guidance only.
11.5 Payment captured
Payment is captured at checkout. Your order is confirmed only on successful payment authorisation.
12.1 DHL Express door-to-door
All sample orders are shipped via DHL Express with door-to-door international delivery.
12.2 Prepay duties at checkout
Where available for your destination country, you may choose to prepay estimated import duties and taxes at checkout using DHL's integrated landed cost estimation. TICC absorbs minor variance between estimated and final assessed duties.
12.3 Pay duties on arrival (DAP)
Alternatively, your shipment is sent under DAP terms. DHL will contact you on arrival for duty/tax payment. If duties are refused, the shipment may be returned or disposed of at your cost.
12.4 Buyer as importer of record
You are the importer of record for your sample order and are responsible for compliance with import regulations in your country.
12.5 Customs delays
Customs clearance is controlled by destination country authorities. TICC is not responsible for delays arising from customs holds, inspections, or documentation requests.
All Sample Sales Are Final
TICC does not accept returns of sample orders. All sample sales are final. This is because every product is handcrafted to order by a skilled artisan specifically for you and cannot be restocked. However, TICC will address valid claims for transit damage and wrong-item shipment as set out in the Returns, Damage & Claims Policy.
13.1 Transit damage — 48 hours
Submit photographic evidence of damage to hello@theinduscraftco.com within 48 hours of delivery.
13.2 Wrong item — 7 days
Submit photographic evidence of wrong item to hello@theinduscraftco.com within 7 calendar days of delivery.
13.3 Full policy
All sample order claims are governed exclusively by the TICC Returns, Damage & Claims Policy (Part One — Sample Orders). That Policy is incorporated into these Terms by reference.
13.4 Cancellation before production
Cancellation may be possible before production begins. Contact hello@theinduscraftco.com immediately. Once production has started, cancellation is not possible.
Sample Cost Credited Against Bulk Order
When you place a sample order and subsequently place a bulk wholesale order for the same product(s), the full cost of the sample order is credited and offset against your bulk Proforma Invoice. Your sample investment is not wasted — it is a structured commercial evaluation step.
Part C
Bulk Buyers — Direct Wholesale Engagement
Applies to buyers placing bulk wholesale orders directly with TICC
Bulk orders are handled offline — direct coordination between you and TICC. There is no bulk 'checkout' on the website. The bulk order process is governed by the TICC Wholesale Terms of Sale, the Proforma Invoice, and any agreed commercial addendum. These Terms of Use apply in addition to that framework.

16.1 No binding contract until PI acceptance
A bulk order inquiry, quotation, or price discussion is not a binding contract. A binding contract is formed only when TICC issues a Proforma Invoice and the Buyer accepts it in writing and makes the agreed advance payment.
16.2 PI governs commercial terms
The Proforma Invoice, together with the TICC Wholesale Terms of Sale, governs all commercial terms of the bulk order including quantity, pricing, currency, payment schedule, Incoterms, and lead time.
16.3 No verbal modifications
No modification to an accepted PI is binding unless agreed in writing by an authorised representative of TICC.
SGS Inspection is Mandatory for All Bulk Orders
Every bulk order shipped by TICC is subject to a Pre-Shipment Inspection (PSI) conducted by SGS — the world's leading independent inspection and certification body. The SGS PSI Certificate is issued before shipment and is conclusive evidence that goods were in conforming condition at the time of departure from India. Claims for quality or conformance issues that were detectable during inspection are excluded after the SGS Certificate is issued.
17.1 Scope
SGS inspection covers product quality, quantity, SKU conformance, packing, labelling, and applicable destination market standards.
17.2 Certificate provided to Buyer
The SGS PSI Certificate is provided to you before your balance payment is requested.
17.3 Right to witness
You may request to have a representative witness the inspection, with at least 5 business days' written notice. Attendance costs are your responsibility.
18.1 Agreed per Proforma Invoice
Payment terms for bulk orders are agreed individually and documented in the Proforma Invoice.
18.2 Typical structure
Typical bulk payment structure: advance payment to confirm production; balance payment before shipment release. Specific percentages and timelines are agreed per order.
18.3 Wire transfer / LC
Bulk orders are typically settled by international bank wire transfer (TT). Letters of Credit may be considered for qualifying orders.
18.4 Currency
Bulk orders are invoiced in USD unless otherwise agreed in writing.
18.5 Late payment
Late payment may result in production delays, release delays, or cancellation of the order at TICC's discretion.
All claims arising from bulk orders are governed exclusively by the TICC Returns, Damage & Claims Policy (Part Two — Bulk Wholesale Orders), which is incorporated into these Terms by reference. Key points:
19.1 All bulk sales are firm
Bulk orders are firm sales. Returns are not accepted except in the specific circumstances in the Returns Policy.
19.2 Claim timeframes
Transit damage: 48 hours. Wrong item / shortfall / concealed damage: 3 calendar days from delivery.
19.3 SGS exclusion
No claim may be made for quality or conformance issues detectable at the time of the SGS Pre-Shipment Inspection.
19.4 Chargebacks
Initiating a chargeback without first following the Returns Policy claim process constitutes a material breach of these Terms and will be contested by TICC with full documentation.
20.1 Separate terms
Custom, white-label, and private label orders are subject to a separate written agreement confirming design specifications, production requirements, IP ownership, and commercial terms.
20.2 Non-returnable
Custom and private label orders are non-returnable and non-refundable, except where TICC confirms a major production defect across the entire order.
20.3 IP in custom designs
Unless expressly agreed otherwise in writing, custom designs created by TICC for a Buyer remain the IP of TICC until full payment is received, at which point IP transfers to the Buyer as agreed.
General Provisions
Applies to All Users — Sample and Bulk
TICC's Privacy Policy and Cookie Policy explain how we collect, use, and protect your personal data. These policies are incorporated into these Terms by reference and are available at www.theinduscraftco.com. By using the Website, you consent to our processing of your personal data as described in the Privacy Policy.
TICC may update these Terms at any time. Material changes will be notified by posting the revised Terms on the Website with a new 'Effective Date'. For registered buyers, we will also send an email notification. Continued use of the Website or placement of any order after the updated Terms are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
These Terms, together with the TICC Privacy Policy, Cookie Policy, Returns Policy, Wholesale Terms of Sale, and Shipping, Duties & Delivery Policy, constitute the entire agreement between you and TICC in respect of the Website and your use of TICC's services, and supersede all prior representations, agreements, and understandings.
